These Terms of Service ("Terms") constitute a binding legal agreement between you and TicketPal Technologies, Inc. ("TicketPal Technologies, Inc.", "we," "us," or "our"), a Delaware corporation. These Terms govern your use of our AI-powered ticket discovery and purchasing platform, including our website, mobile application, and AI assistant services (collectively, the "Services").

By using our Services, you agree to these Terms. If you do not agree to these Terms, do not use our Services.

IMPORTANT: We work with ticketing partners to fulfill ticket purchases. When you purchase tickets through our platform, you may also be subject to our ticketing partner's terms and conditions in addition to these Terms.

2. Description of Services

TicketPal Technologies, Inc. operates an AI-powered platform that helps users discover and purchase tickets for live events. Our Services include:

  • AI Assistant: Conversational interface for discovering events based on your preferences
  • Event Discovery: Search and browse events from various sources
  • Ticket Purchasing: Facilitate ticket purchases through our approved ticketing partners
  • Account Management: Personal account to track preferences and purchase history

We act as a technology platform that connects users with ticketing partners who serve as the merchant of record for ticket transactions.

3. Account Registration and Security

Account Creation

To use certain features of our Services, you must create an account by providing accurate, current, and complete information. You agree to:

  • Provide truthful and accurate information
  • Maintain and update your account information
  • Keep your login credentials secure
  • Notify us immediately of any unauthorized access

Account Responsibility

You are responsible for all activities that occur under your account. Each account must be linked to a unique individual and contain valid, verifiable information. Multiple accounts may not be used to circumvent purchase limits or other restrictions.

Privacy Acknowledgment

By creating an account, you acknowledge that:

  • You have read and understood our Privacy Policy
  • You consent to the collection and processing of your personal data as described in our Privacy Policy
  • You understand your rights regarding your personal data

4. Ticket Purchases and Transactions

AI-Assisted Purchasing

Our AI assistant helps you discover and purchase tickets. When you make a purchase through our platform:

  • You are entering into a binding contract with our ticketing partner (not TicketPal Technologies, Inc.)
  • The ticketing partner serves as the merchant of record
  • You agree to comply with the ticketing partner's terms and conditions
  • All transactions are processed by the ticketing partner

Pricing and Fees

  • Ticket prices are set by our ticketing partners and may be at, above, or below face value
  • Prices may include service fees, delivery charges, and applicable taxes
  • Prices may be displayed in various currencies depending on event location and user location
  • We may receive commissions from ticketing partners for successful transactions

Purchase Terms

  • All Sales Final: Tickets sales are final except in cases of event cancellation
  • No Refunds: No refunds for change of mind, inability to attend, or event postponement/rescheduling
  • Event Cancellation: If an event is cancelled, refund policies are determined by the ticketing partner
  • Order Confirmation: All purchases are subject to confirmation by the ticketing partner

Payment Authorization

By providing payment information, you authorize:

  • The ticketing partner to charge your payment method for the full purchase amount
  • Immediate processing of payment upon order placement
  • Additional charges for delivery, service fees, and taxes as applicable

5. User Conduct and Restrictions

You agree not to:

  • Use our Services for any illegal purpose or in violation of applicable laws
  • Impersonate any person or entity or misrepresent your identity
  • Use automated systems (bots, scrapers, etc.) to access our Services without permission
  • Attempt to circumvent security measures or access controls
  • Interfere with or disrupt our Services or servers
  • Use our Services to engage in fraudulent activities
  • Copy, reproduce, or distribute our content without permission
  • Violate any ticketing partner's terms or purchase limits
  • Use multiple accounts to circumvent restrictions or limits

Prohibited Automated Systems: You may not use ticket bot technology, automated purchasing software, or any system designed to circumvent purchase limits or security measures.

6. AI Assistant and Content

AI Interactions

Our AI assistant analyzes your conversations to provide personalized recommendations. By using the AI assistant, you understand that:

  • Conversations may be recorded and analyzed for service improvement
  • AI recommendations are based on available data and algorithms
  • We do not guarantee the accuracy of AI recommendations
  • You are responsible for final purchase decisions

Intellectual Property

All content, technology, and intellectual property related to our Services remain our property or that of our licensors. You may not copy, reproduce, distribute, or create derivative works without our express permission.

7. Event Information and Disclaimers

Information Accuracy

We do not guarantee the accuracy of event information, including:

  • Event names, dates, times, or locations
  • Venue information and seating details
  • Performer lineups or event details
  • Ticket availability or delivery methods

Event Changes

Event organizers may change event details at their discretion. We have no control over such changes and are not liable for:

  • Event postponement, rescheduling, or venue changes
  • Changes to performer lineups or event format
  • Weather-related issues or force majeure events

Venue Compliance

You agree to comply with all venue rules and policies. If you are denied entry or removed from an event for violating venue rules, you are not entitled to any refund and may be liable for associated costs.

8. Third-Party Services and Partners

Ticketing Partners

We work with various ticketing partners to fulfill purchases. These partners:

  • Maintain their own terms of service and privacy policies
  • Process payments and handle customer service for transactions
  • Control ticket inventory, pricing, and delivery
  • May have their own purchase limits and restrictions

Third-Party Links

Our Services may contain links to third-party websites or services. We are not responsible for the content, privacy practices, or terms of service of third parties.

9. Disclaimers and Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. We disclaim all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • That the Services will be uninterrupted, secure, or error-free
  • That the information provided is accurate, complete, or current
  • That any tickets will be available or delivered as expected

WE DO NOT WARRANT THAT:

  • Our AI recommendations will meet your expectations
  • Tickets will be available at listed prices
  • Events will occur as scheduled
  • Ticketing partners will fulfill their obligations

10. Limitation of Liability

Damages Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW: We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or information
  • Personal injury or property damage
  • Disappointment from event changes or cancellations

Liability Cap

Our total liability for any claims related to your use of our Services shall not exceed $100 or the amount you paid us in the 12 months preceding the claim, whichever is greater.

Ticketing Partner Issues

We are not liable for the acts or omissions of our ticketing partners, including but not limited to:

  • Failure to deliver tickets
  • Poor customer service
  • Refund processing delays
  • Data breaches or privacy violations

11. Indemnification

You agree to indemnify, defend, and hold harmless TicketPal Technologies, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorney fees) arising from:

  • Your use of our Services
  • Your violation of these Terms
  • Your violation of any law or regulation
  • Your violation of any ticketing partner's terms
  • Any false or misleading information you provide

12. Privacy

Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

13. Modifications to Terms

We may update these Terms at any time by posting revised Terms on our website. Changes will be effective immediately upon posting. Your continued use of our Services after changes are posted constitutes acceptance of the revised Terms.

For material changes, we will provide notice via email or prominent notice on our platform.

14. Termination

By You

You may terminate your account at any time by contacting customer service or using account deletion features.

By Us

We may terminate or suspend your access to our Services at any time, with or without notice, for:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Abuse of our Services or AI assistant
  • Non-payment of fees (if applicable)

Effect of Termination

Upon termination:

  • Your right to use our Services ends immediately
  • Outstanding ticket orders will be honored by ticketing partners
  • You may export your data before account deletion
  • Your data will be permanently deleted within 30 days, except where we are required by law to retain certain information
  • Some anonymized data may be retained for legal compliance or fraud prevention

15. Dispute Resolution and Governing Law

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Jurisdiction

Any disputes arising from these Terms or your use of our Services shall be resolved exclusively in the federal or state courts located in Delaware. You consent to the jurisdiction of these courts.

Limitation Period

Any claims must be brought within one (1) year of the date the claim arises, or such claims will be permanently barred.

16. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TicketPal Technologies, Inc. regarding our Services.

Assignment

We may assign our rights and obligations under these Terms to any party at any time. You may not assign your rights without our written consent.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, or internet service failures.

Relationship

These Terms do not create any agency, partnership, joint venture, or employment relationship between you and TicketPal Technologies, Inc.
